1. Introduction and Binding Agreement

Welcome to SnowUP. These Terms of Service ("Terms") govern your use of our website located at Snowup.tv (the "Site") and IPTV streaming services (collectively, the "Services") operated by SnowUP ("we," "us," or "our").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you must not access or use the Services.

Legal Capacity and Agreement: You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Complete Agreement: These Terms constitute the entire agreement between you and SnowUP regarding the use of the Services, superseding any prior agreements between you and SnowUP relating to your use of the Services.

2. Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and credentials used to access the Services and for any activities or actions under your account. You agree not to disclose your password to any third party.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Subscriptions and Payment Terms

Some parts of the Services are billed on a subscription basis. You will be billed in advance on a recurring basis, depending on the type of subscription plan you select.

Payment Authorization: By providing payment information, you represent and warrant that you have the legal right to use any payment method you provide and authorize SnowUP to charge your payment method for all Services you purchase. You are responsible for all charges incurred under your account.

Payment Methods: We may use third-party payment processors, and your use of such services is subject to their terms and conditions. We are not responsible for any errors by the payment processors.

Renewal and Cancellation: At the end of each billing period, your subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your subscription at any time through your account settings or by contacting our customer support team. The cancellation will take effect at the end of the current billing period.

No Refunds: All sales are final. Fees paid for the Services are non-refundable. We do not provide refunds or credits for partial subscription periods or unused Services. This no-refund policy is a fundamental part of our agreement.

Price Changes: SnowUP reserves the right to change the price of the Services at any time. If we change our prices, we will provide notice of the change on the Site or by email. Continued use of the Services after any such changes shall constitute your consent to such changes.

Certain subscription plans may have different terms and conditions, which will be presented to you at the time of subscription.

4. Free Trial

We may, at our sole discretion, offer a free trial to new users for a limited period. If you are on a free trial, you may cancel at any time during the trial period without charge.

Once the free trial period is over, we will begin charging the applicable subscription fee for the plan you chose at the beginning of each billing cycle.

We reserve the right to modify or terminate free trials at any time without prior notice.

5. Prohibited Uses and User Responsibilities

You agree not to use the Services in any way that:

• Violates any applicable laws, regulations, or ordinances
• Infringes upon the rights of others, including copyright and intellectual property rights
• Attempts to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services
• Interferes with or disrupts the Services or servers or networks connected to the Services
• Uses the Services to transmit any viruses, worms, trojan horses, or other harmful code
• Resells, transfers, or shares your subscription credentials with others
• Uses the Services for any public presentation or commercial purposes without our prior written consent

User Legal Responsibility: You acknowledge and agree that:

• You are solely responsible for determining whether your use of the Services complies with applicable laws in your jurisdiction
• You will not use the Services to access content that is illegal in your jurisdiction
• SnowUP does not verify the legality of content in every jurisdiction and cannot advise you on legal matters
• Any legal consequences arising from your use of the Services are entirely your responsibility

6. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of SnowUP and its licensors. The Services are protected by copyright, trademark, and other laws of both the country in which you reside and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SnowUP.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

8. Limitation of Liability and Indemnification

Absolute Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall SnowUP, its directors, employees, partners, agents, suppliers, distributors, resellers, or affiliates be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation:

• Damages for loss of profits, goodwill, use, data, or other intangible losses
• Any damages arising from your access to, use of, or inability to access or use the Services
• Any damages related to any content (including copyrighted content) obtained through the Services
• Any legal fees or costs incurred as a result of your use of the Services
• Any damages resulting from unauthorized access to, alteration of, or the deletion, destruction, damage, loss, or failure to store any of your content or data
• Any damages resulting from service interruptions, transmission failures, or delays
• Any damages arising from third-party content, services, or actions, including those of channel providers

The foregoing limitation of liability shall apply regardless of the cause and regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if SnowUP has been advised of the possibility of such damages and even if any remedy provided herein fails its essential purpose.

You specifically acknowledge that SnowUP shall not be liable for user content or the defamatory, offensive, or illegal conduct of any third party, and that the risk of harm or damage from such content and conduct rests entirely with you.

Comprehensive Indemnification: You agree to defend, indemnify, and hold harmless SnowUP and its licensors, employees, contractors, agents, officers, directors, shareholders, representatives, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, penalties, and expenses (including but not limited to attorneys' fees) arising from:

• Your use of and access to the Services, including any data or content transmitted or received by you
• Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above
• Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights
• Your violation of any applicable laws, rules, or regulations, including any laws related to copyright, broadcasting rights, or intellectual property
• Any claim or damages that arise as a result of any content submitted, transmitted, or otherwise made available through the Services by you
• Any other party's access and use of the Services with your credentials
• Any legal or regulatory action taken against SnowUP as a result of your use of the Services

This defense and indemnification obligation will survive these Terms and your use of the Services.
